Affiliate Agreement

1.1"Agreement" means this agreement, as updated from time to time under clause 13.

1.2"Affiliate Dashboard" means the affiliate account we provide to you through Rewardful, where your Referral Link, statements and payment details are held.

1.3"Referral Link" means the unique tracking link issued to you in the Affiliate Dashboard.

1.4"Discount Code" means a code we issue to you and link to your affiliate account.

1.5"Referred Customer" means a customer attributed to you under clause 4.

1.6"Referral Date" means the date of a Referred Customer's first payment to IMGPT.

1.7"Qualifying Payment" means a payment made by a Referred Customer for an IMGPT subscription, excluding tax, that has not been refunded or charged back.

1.8"Assumed Processing Fee" means 6.0% of a payment plus USD 0.25, applied whatever the actual payment processing fee on that payment turns out to be.

1.9"Commission" means the amount payable to you under clause 3.

1.10"Cleared Balance" means Commission on Qualifying Payments that have passed the 14 day refund window.

1.11"Serious Breach" has the meaning given in clause 10.1.

2.1You accept this Agreement when you apply to the affiliate program, or when you first use a Referral Link or Discount Code, whichever happens first.

2.2You must be at least 18 years old and able to receive payment in your own name or your company's name. The program is not open to anyone we are legally prohibited from paying.

2.3We may review any application or affiliate account, before or after approval, and we may decline an application without giving a reason. You may not apply on behalf of another person or hold more than one affiliate account.

2.4You expressly accept the following clauses, which limit your rights or give us discretion: clause 9.2 (holding payment during a review), clause 9.3 (monthly ceiling), clause 10 (fraud and Serious Breach, including loss and recovery of Commission), clause 12 (termination), clause 15.5 (limitation of liability) and clause 15.9 (courts of Bucharest).

2.5The information in your application must be accurate. We keep your application, and the record of your acceptance of this Agreement, for as long as the program runs, whether or not you are admitted. Applications are reviewed by a person. Any automated screening only assists that person and never decides on its own.

3.1You earn Commission on every Qualifying Payment made by a Referred Customer, for as long as that customer remains subscribed. There is no limit on the number of payments and no 12 month cap. Clauses 4, 10, 12 and 14 set out when Commission does not apply or stops.

3.2Your Commission rate depends on when you join the program:

3.3The rate you join at applies to every customer you ever refer, including customers you refer after the published rate has changed. We may close a tier before its places are filled, or keep it open after, by updating the affiliate page. This does not affect any affiliate already admitted.

3.4Commission is calculated as your rate applied to the Qualifying Payment less the Assumed Processing Fee, rounded up to the cent. For example, on a payment of USD 99.00 the Assumed Processing Fee is USD 6.19, leaving USD 92.81, so Commission at 50% is USD 46.41.

3.5Commission is calculated on the amount actually paid. A discounted payment, such as a reduced first month, reduces Commission in proportion rather than voiding it.

3.6If a Referred Customer moves to a different plan or product, they remain your Referred Customer at your rate.

4.1Your Referral Link sets a cookie lasting 90 days. If the visitor makes their first payment within that period, they become your Referred Customer on a last click basis. If they click another affiliate's link before paying, that affiliate is credited instead.

4.2A customer who pays using your Discount Code becomes your Referred Customer, unless they were already attributed to another affiliate.

4.3Once a customer is attributed to you, all of their later payments remain attributed to you.

4.4Attribution depends on the customer's browser. Cookies can be cleared, blocked, or lost when a person changes device between clicking and paying. We attribute what our tracking records and cannot pay Commission on a sale our tracking did not record.

4.5Where attribution is disputed, our decision applies, acting reasonably and on the records held in the Affiliate Dashboard and our payment systems.

4.6A person who has previously paid IMGPT is not attributed to you.

5.1We pay Commission by PayPal, in US dollars, to the PayPal address held in your Affiliate Dashboard. Any fee charged by PayPal or your bank to receive payment is yours.

5.2We pay monthly, on the 15th day of the month, covering Commission that entered your Cleared Balance by the end of the previous month.

5.3The minimum payment is USD 50.00. A Cleared Balance below that amount carries forward to the next payment run. When your entitlement to Commission ends, any remaining Cleared Balance is paid in the next run regardless of the minimum.

5.4If a payment fails or is not claimed, the amount returns to your balance and is paid in the next run after you correct your details. If we are unable to pay you for 24 months because your payment or tax details are missing or incorrect, and we have sent you at least two reminders, the balance lapses.

5.5You are responsible for any tax due on Commission. We may require tax documentation before making payment, and payment is withheld until we receive it. We do not withhold tax unless required to do so by law. You agree that we may issue invoices or payment statements on your behalf where required by law or by our accounting obligations.

6.1If a payment is refunded or charged back before its Commission has been paid to you, that Commission is reversed and removed from your balance.

6.2If a payment is charged back after its Commission has been paid to you, we deduct that amount from your future balance. We will not require you to repay Commission already received, except under clause 10.

7.1You may promote IMGPT through reviews, tutorials, comparisons, newsletters, and paid advertising, including paid social advertising on Meta, TikTok, YouTube, LinkedIn, Reddit and X. Paid advertising may link directly to img-pt.com.

7.2You may not:

• Promote IMGPT on coupon, voucher or cashback sites, or through pages built to rank for searches such as "IMGPT coupon" or "IMGPT discount". Deal newsletters and roundups that introduce IMGPT to a new audience are permitted.
• Pay, reward or otherwise incentivise any person to sign up.
• Refer yourself. This includes subscribing through your own Referral Link or Discount Code, using your free account, subscribing on behalf of a business you own, work for or control, or arranging for another person to subscribe on your behalf. A client paying for their own account is permitted.
• Use cookie stuffing, pop-unders, forced clicks, browser extensions that insert or overwrite tracking, bots, or automated traffic.
• Send unsolicited bulk email, messages or SMS, or promote IMGPT through any channel you do not have permission to use.
• Make claims about IMGPT that we have not made ourselves, including results, performance figures, revenue outcomes, or features that do not exist.
• Misstate our prices or discounts. The discounted first month is available within the IMGPT signup flow. Do not describe it as an exclusive deal or a coupon unless we have issued you a Discount Code.
• Offer guarantees, refunds or other promises on our behalf.
• Publish fake reviews or fabricated results, or disparage IMGPT.
• Operate a sub-affiliate network. You remain responsible for any person who promotes IMGPT on your behalf, including media buyers you engage.

7.3A Discount Code is for use with your own content and your own audience. You may not post it, or permit it to be posted, on coupon, voucher or cashback sites, code-sharing browser extensions, or pages built to rank for searches such as "IMGPT coupon". We may change, limit or deactivate any Discount Code at any time, including where it has been shared without your permission, and a Discount Code may not be combined with any other offer. Sales made using a Discount Code before we replace it remain yours, unless you published it in breach of this clause.

7.4If you run paid advertising for IMGPT, we may ask to see it and you agree to provide it. If we ask you to change or remove any content or advertisement, you must do so within 48 hours of our request.

7.5We may restrict paid advertising, including on a particular platform, on 30 days' written notice, so that our advertising and yours do not compete.

7.6Wherever you earn Commission, you must disclose that clearly, as required by the FTC and equivalent rules in your country. The disclosure must appear in the post, advertisement or video itself, and not only on your profile, in plain words such as "I earn a commission if you sign up through my link". Terms such as "ambassador", "collab" or "sp" used alone are not sufficient.

8.1We grant you a limited, non-exclusive, revocable permission to use the IMGPT name, and the logo and screenshots we supply, to promote IMGPT under this Agreement. This permission ends when this Agreement ends.

8.2You may not:

• Run search advertising targeting "IMGPT", img-pt.com, misspellings, or combinations such as "IMGPT review", "IMGPT coupon" or "IMGPT alternative", on any search engine. You must add these as negative keywords.
• Use "IMGPT" in the headline or display URL of a search advertisement. You may name IMGPT in the body text of a paid social advertisement.
• Use "IMGPT", or anything resembling it, in a domain, subdomain, social media handle, profile name, business name, or the name of an app, browser extension or GPT. It may appear in a page path, such as yoursite.com/imgpt-review.
• Use the IMGPT logo as a profile picture or banner, or publish anything that appears to be an official IMGPT account, advertisement or website, copies the design of img-pt.com, or disguises the destination of a link.
• Alter our logo or assets, or state or imply that IMGPT endorses you, employs you, or has appointed you as a reseller. You may describe yourself as an affiliate or partner.
• Issue press releases or public statements about IMGPT or this program without our written consent.
• Use a competitor's trademark in your advertising keywords or domains, or make false statements about a competitor. Comparisons must be accurate and current, and the risk of them is yours.

8.3When this Agreement ends, you must remove IMGPT branding and any claim to be an IMGPT partner within 14 days.

9.1Where referral activity materially deviates, in our reasonable assessment, from normal patterns for the program, we may ask you to explain the source of the traffic and how it was generated. You must respond with enough detail for us to verify it within 10 business days.

9.2While a review under clause 9.1 is open, we may hold payment of your Cleared Balance, including a payment run already due, and we will notify you when we do so. If we have not identified a breach within 60 days of opening the review, the held amount is paid in the next run.

9.3We may set a monthly ceiling on Commission payable to an individual affiliate, on 14 days' written notice. Commission above the ceiling carries forward to later months and is not lost. Where your volume approaches a ceiling, we will agree a higher ceiling with you.

10.1A "Serious Breach" means any of: fraud or deliberate deception; materially false information in your application; self referral; fake or automated traffic; cookie stuffing; search advertising on IMGPT brand terms; impersonating IMGPT; failing to respond to a review under clause 9.1; failing to remove content within 48 hours of a request under clause 7.4; or repeating a breach of this Agreement after we have warned you.

10.2Where a Serious Breach occurs, Commission arising from the activity concerned is void, Commission already paid in respect of that activity is repayable and may be deducted from your balance, and we may terminate this Agreement under clause 12.3.

11.1Every affiliate receives an IMGPT account at no cost, with a one-time allowance of tokens that we set, so that you can use the product and produce genuine demonstrations of it. The allowance is not renewed or topped up unless we say so.

11.2The free account is for your own use and for producing content about IMGPT. It may not be used to serve clients commercially and it is not transferable.

11.3We may close the free account if you have not published or run anything promoting IMGPT in the previous 60 consecutive days. It closes automatically when your affiliate account closes.

12.1This Agreement starts when you accept it under clause 2.1 and continues until terminated.

12.2Either party may terminate this Agreement at any time and without cause, by written notice: you by closing your affiliate account or emailing affiliates@img-pt.com, and us by emailing the address held on your affiliate account.

12.3We may terminate this Agreement immediately where a Serious Breach has occurred. We will tell you what we have found, and you have 14 days to respond before the decision is final.

12.4Where this Agreement ends for any reason other than a Serious Breach, you continue to earn Commission on every customer whose Referral Date falls before the date of termination, for as long as that customer remains subscribed. Customers referred after that date do not earn Commission.

12.5Where this Agreement ends because of a Serious Breach, all entitlement to future Commission ends on termination.

12.6We may suspend the program, stop accepting new affiliates, or close the program. If we close it, we will give active affiliates 30 days' written notice, and Commission on customers already referred continues for 12 months from the closing date and then ends.

13.1We may update this Agreement. Where a change reduces the Commission you earn under it, or changes how you are paid, we will email you at least 30 days before the change takes effect. Changes to our prices and products under clause 14 are not changes to this Agreement.

13.2A change to the published Commission rates does not apply retrospectively and does not change the rate at which you were admitted.

13.3Your continued participation in the program after a change takes effect constitutes your acceptance of it. If you do not wish to accept a change, you may terminate this Agreement under clause 12.2 before it takes effect, and clause 12.4 will apply.

14.1We run IMGPT as a business and will continue to change it. None of the changes in this clause affect the rate at which you were admitted, but because Commission is a percentage of what customers pay, they may change the amount that rate produces.

• Pricing. We may change our prices, plans, billing periods, discounts, promotions and trials, including the discounted first month, at any time. An increase raises your Commission and a reduction lowers it.
• Products. We may add, change, rename, merge or withdraw plans and features. A new product may carry a different Commission rate, which we will state when we launch it. A customer moved to a different plan or product keeps their attribution and your rate.
• Customers. We may refund, suspend or close any customer account. Commission on a refunded payment is reversed under clause 6, and Commission ends on a closed account.
• Countries. We may stop selling in, or accepting affiliates from, any country, including in order to comply with sanctions or local law.
• Suppliers. We may move the program to a different tracking platform, payout provider or payment processor. We will tell you before we do so, and Commission already earned or attributed carries over.
• The company. If IMGPT is sold, merged or restructured, we may transfer this Agreement to the new owner, who is then bound by it in the same way.

15.1You are an independent contractor. Nothing in this Agreement creates an employment, agency, partnership or joint venture relationship, and you may not make any commitment on our behalf. The arrangement is not exclusive on either side.

15.2You may not assign or transfer this Agreement, your affiliate account, or any entitlement to Commission, without our written consent.

15.3Where we share information with you that is not public, including unreleased features, you must keep it confidential. You are responsible for complying with privacy and marketing law in how you promote IMGPT and handle personal data. With your permission, we may name you as a partner or feature your content in our own marketing.

15.4You will indemnify IMGPT against any claim, loss or cost, including reasonable legal fees, arising from your breach of this Agreement or from the way you have promoted IMGPT. We will notify you of any such claim, we control its defence, and we will not settle it at your expense without your consent.

15.5Our total liability to you under this Agreement is limited to Commission you have earned and which remains unpaid, except to the extent that liability may not be limited by law. We are not liable for Commission lost because IMGPT, Rewardful, PayPal or Stripe was unavailable, or because of events outside our reasonable control.

15.6Notices to you are sent to the email address held on your affiliate account. Notices to us are sent to affiliates@img-pt.com.

15.7If any provision of this Agreement is held to be unenforceable, the remainder continues in force. A failure to enforce a provision on one occasion does not waive it.

15.8This Agreement, together with the IMGPT terms of service and privacy policy, is the entire agreement between us concerning the affiliate program. Where the affiliate program is concerned, this Agreement prevails. If it is translated, the English version prevails.

15.9This Agreement is governed by Romanian law. Before commencing proceedings, the parties will attempt in good faith to resolve any dispute by email for 30 days. Thereafter, disputes are subject to the exclusive jurisdiction of the competent courts of Bucharest, Romania.
